The "TELEFLORA'S GET A ROOM SWEEPSTAKES" ("Sweepstakes") starts at 12:01 a.m. Eastern Time ("ET") on 1/19/15 and (i) ends at 11:59 p.m. ET on 2/13/15 for automatic entry ("Automatic Entry Period") with a qualified purchase (as detailed below) and (ii) ends on 2/14/15 for the postmarking of a mail-in entry with both methods as detailed below. The sponsor of the Sweepstakes is Teleflora LLC, 11444 W. Olympic Blvd., 4th floor, Los Angeles, CA 90064 (the "Sponsor"). The administrator of the Sweepstakes is West Coast Marketing, a division of The Susquehanna Hat Company ("West Coast Marketing" or "Administrator"). The Sweepstakes is subject to these Sweepstakes Official Rules (the "Official Rules"), and by entering, entrant agrees to be bound by them.

ELIGIBILITY: Sweepstakes is open only to legal residents of the fifty (50) United States and the District of Columbia and Canada (except Province of Quebec) (the "Eligibility Area"), who as of the date of their entry into the Sweepstakes are eighteen (18) years of age or older. Employees of Sponsor, West Coast Marketing and each of their respective affiliates, subsidiaries, parent companies and agencies (together, collectively, the "Sweepstakes Entities"), as well as members of such employees' immediate families (spouses, children, siblings, parents) or households (whether or not related), are not eligible to participate in the Sweepstakes. Sweepstakes is void in Puerto Rico, all U.S. territories and possessions, Province of Quebec and overseas military installations and where prohibited or restricted by law. If prize is won by an individual at least eighteen (18) years of age but considered a minor ("Minor") in his/her legal jurisdiction of residency it will be awarded in the name of Minor's parent or legal guardian.

HOW TO ENTER: There are two (2) ways to enter the Sweepstakes: (1) with qualified purchase made on the Teleflora.com website; or (2) without a qualified purchase by submitting an entry by mail. Each method of entry is detailed as follows:

How to Enter With Qualified Purchase: During the Automatic Entry Period, you will automatically receive one (1) entry into this Sweepstakes when you visit www.Teleflora.com (the "Site") and make a purchase of any eligible Teleflora bouquet (including, but not limited to Teleflora's Sweet Embrace Bouquet (T15V100A), Teleflora's Swirls of Love Bouquet (T15V200A), Teleflora's Hearts of Gold Bouquet (T15V300A), Send a Hug® I Ruff You by Teleflora (T15V400A)). By successfully completing the foregoing you will automatically receive one (1) entry in the Sweepstakes ("Automatic Entry"). Only one (1) Automatic Entry will be awarded per transaction, regardless of the number of items purchased during the specific transaction. The name and address exactly as it appears in the official account information associated with the credit card account used to place the purchase will be entered once per transaction. The official account information associated with the applicable credit card account is defined as the personal information provided by the consumer at the time of the account creation. Notwithstanding the foregoing, each entrant may provide a different address (other than the address associated with his/her credit card account) for purpose of participating in the Sweepstakes. ALL AUTOMATIC ENTRIES MUST BE RECEIVED DURING THE AUTOMATIC ENTRY PERIOD.

Account adjustment transactions/returns & international transactions (other than Canadian), late payment fees, over-limit or over-draft fees, return check fees, balance transfers and/or other fees assessed on your account are not considered eligible transactions for automatic Sweepstakes entry. Entries from unauthorized use or made with a lost, stolen, or fraudulent credit card are void. Only purchases made with a credit card that is in good standing (both at time of entry and winner selection) are eligible for Automatic Entry.

How to Enter By Mail Without Qualified Purchase: To enter the Sweepstakes for free by mail, hand print (no photocopied, computer generated facsimiles, mechanically reproduced or mass entries permitted) your first and last name, street address (no post office boxes), city, state/province, zip/postal code, gender, daytime telephone number, date of birth and (if applicable) email address on a postcard only and mail the completed postcard entry to "TELEFLORA'S GET A ROOM SWEEPSTAKES", PO BOX 6041, SHERMAN OAKS, CA 91413 ("Mail-in Entry"). YOU MAY ENTER BY MAIL AS OFTEN AS YOU LIKE, BUT ALL MAIL-IN ENTRIES MUST BE MAILED SEPARATELY AND BE POSTMARKED BY 2/14/15 AND RECEIVED BY 2/21/15.

Automatic Entry and Mail-in Entry may be referred to individually as an "Entry" and collectively as "Entries". Each individual submitting an Entry shall be referred to herein as an "Entrant".

The Sponsor's clock shall be the official timekeeper for this Sweepstakes.

The Sweepstakes Entities and any and all Internet server(s) and access provider(s) and email services, and each of their respective affiliates, subsidiaries, parent corporations, retailers and advertising and promotional agencies, and all of their officers, directors, trustees, managers, members, partners, shareholders, employees and agents, (collectively, "Releasees"), are not responsible for: any incorrect or inaccurate Entry information; human errors; technical malfunctions; failures, omissions, interruptions, deletions or defects of any telephone network, computer online systems, computer equipment, servers, providers or software, including without limitation, any injury or damage to participant's or any other person's computer or mobile device relating to or resulting from participation or attempted participation in the Sweepstakes; inability to access the Site or any pages thereof; theft, tampering, destruction or unauthorized access to, or alteration of, Entries; data that is processed late or incorrectly or is incomplete or lost due to telephone, computer or electronic malfunction or traffic congestion on telephone lines or the Internet or any website (including the Site) or for any other reason whatsoever; typographical, printing or other errors; late, lost, stolen, mutilated, misdirected or postage-due mail, or any combination thereof. Proof of entering information at the Site is not considered proof of delivery or receipt. Illegible or incomplete Entries, Entries in excess of the stated number above and mechanically reproduced Entries will be disqualified. All Entries become the property of the Sponsor and will not be acknowledged or returned. False, fraudulent or deceptive Entries or acts shall render Entrants ineligible. By entering the Sweepstakes, Entrants affirm that they have read and accepted these Official Rules.

PRIVACY POLICY: Information will be collected in compliance with Sponsor's Privacy Policy accessible at http://www.teleflora.com/securityprivacy.asp. Sponsor may collect information that you provide to enter the Sweepstakes and will use personal information you provide to enter the Sweepstakes to actually conduct the Sweepstakes. It may further use the personal information to send you information about Sponsor. Sponsor will provide you with an opportunity to opt-out of receiving this information at any time after you first receive such information from Sponsor. Sponsor may also provide the personal information you provide to enter this Sweepstakes to third party fulfillment companies so that such companies may process and deliver prizes to winners.

WINNER SELECTION: One (1) potential Grand Prize winner will be selected in a random drawing held on or about 3/15/15 from among all eligible Entries received for the Sweepstakes. Random drawing will be conducted by West Coast Marketing whose decisions regarding the result of the random drawing shall be final and binding.

Potential Grand Prize winner will be notified within five (5) days of random drawing by telephone and/or email and will be required to respond to such notification within three (3) days, verifying eligibility and mailing address (no post office boxes) within the Eligibility Area. If a Canadian resident, the potential Grand Prize winner will be required to correctly answer, without assistance of any kind, a mathematical skill-testing question administered by telephone or email.

Potential U.S. Grand Prize winner will be required to execute and return a notarized Affidavit of Eligibility/Release of Liability and where legal, a Publicity Release form and a completed IRS #W-9 form within seven (7) days of date of issuance. If applicable, potential Canadian Grand Prize winner will be required to complete and return a Declaration of Eligibility/Release of Liability and where legal, Publicity Release within this same seven (7) day deadline. Failure to respond to notification, or if notification or prize is returned as undeliverable for any reason, or if a prize winner is not in complete compliance with these Official Rules, Sponsor may decide, in its discretion, to award the prize to an alternate eligible Entrant subject to the new selectee's compliance with all the terms and conditions of these Official Rules. Alternate winner selection, if any, will be conducted in a subsequent random drawing from among eligible Entries received.

PRIZE: Grand Prize (one [1] Grand Prize ("Grand Prize" or "Prize") is available to be awarded): The Grand Prize shall consist of a check in the amount of $25,000 USD (approximately $28,660.58 CAD). All federal, state and local tax liabilities, if any, are the responsibility of the Grand Prize winner. An unclaimed and/or unused prize will remain the property of Sponsor or its designee.

Sweepstakes winner's acceptance of the Prize constitutes permission (except where prohibited by law) for Sweepstakes Entities to use the winner's name, address (city and state), likeness, voice, statements and any other personal characteristics for any purpose, including without limitation advertising, Sweepstakes and publicity purposes worldwide in perpetuity, in any medium or format now known or hereafter created, without additional compensation, notification, permission or limitation, and such Sweepstakes winner hereby releases Sweepstakes Entities from any liability with respect to such use.

The odds of winning the Grand Prize are determined by the total number of eligible Entries received and are equal regardless of method of Entry.

LIMITATIONS OF LIABILITY: The Releasees are not responsible for illegible, garbled, corrupted, damaged, lost, late, misdirected, stolen, mutilated, corrupted, undeliverable, incomplete or postage due mail and/or data, whether due to system errors, human errors or failures, internet traffic or faulty transmissions or other telecommunications, or other types of malfunctions or interferences, and/or for Entries not received resulting from any hardware or software failures of any kind, lost or unavailable network connections, or failed, incomplete or garbled computer or telephone transmissions, problems with transactions including, but not limited to transactions that are processed late or incorrectly or are incomplete or for refused credit or for 3rd party transaction classification issues, typographical or system or human errors and failures, or as a result of any other error or problem of any kind relating to or in connection with this Sweepstakes, whether technical, mechanical, typographical, printing, human or otherwise, including, without limitation, errors or problems which may occur in connection with the administration of the Sweepstakes, the collection and processing of Entries, random drawings, the announcement of the Prize or in any Sweepstakes-related materials.

Releasees shall not be liable to a winner or any other person for failure to supply the prize or any part thereof, by reason of any acts of God, any action(s), regulation(s), order(s) or request(s) by any governmental or quasi-governmental entity (whether or not the action(s), regulation(s), order(s) or request(s) prove(s) to be invalid), equipment failure, terrorist acts, earthquake, war, fire, flood, explosion, unusually severe weather, hurricane, embargo, labor dispute or strike (whether legal or illegal), labor or material shortage, transportation interruption of any kind, work slow-down, civil disturbance, insurrection, riot, or any other cause beyond Releasees' sole control.

By receipt of the Prize, Grand Prize winner agrees to release and hold harmless Releasees from and against any claim or cause of action, including, but not limited to, personal injury, death, or damage to or loss of property, arising out of participation in the Sweepstakes or receipt or use or misuse of the Prize.

DISPUTES: Except where prohibited, Entrant agrees that: (1) any and all disputes, claims and causes of action arising out of or connected with this Sweepstakes or any prize awarded shall be resolved individually, without resort to any form of class action, and exclusively by the appropriate Federal or state courts located in Los Angeles, California; (2) any and all claims, judgments and awards shall be limited to actual out-of-pocket costs incurred (if any) not to exceed fifty dollars ($50), including costs associated with entering a Sweepstakes, but in no event attorneys' fees; and (3) under no circumstances will Entrant be permitted to obtain awards for, and Entrant hereby waives all rights to claim, indirect, punitive, incidental and consequential damages and any other damages and any and all rights to have damages multiplied or otherwise increased, other than for actual out-of-pocket expenses. All issues and questions concerning the construction, validity, interpretation and enforceability of these Official Rules, or the rights and obligations of the Entrant and Sponsor in connection with the Sweepstakes, shall be governed by, and construed in accordance with, the laws of the State of California without giving effect to any choice of law or conflict of law rules (whether of the State of California or any other jurisdiction), which would cause the application of the laws of any jurisdiction other than the State of California.

GENERAL: Sponsor may prohibit an Entrant from participating in the Sweepstakes or winning the Prize if, in its sole discretion, it determines that said Entrant is attempting to undermine the legitimate operation of the Sweepstakes by cheating, hacking, deception, or other unfair playing practices, or intending to annoy, abuse, threaten or harass any other Entrants or Sponsor's representatives. If for any reason this Sweepstakes (or any part thereof) is not capable of running as planned, or if this Sweepstakes or any website associated therewith (or any portion thereof) becomes corrupted or does not allow the proper playing of the Sweepstakes and processing of Entries in accordance with these rules, or if infection by computer virus, bugs, tampering, unauthorized intervention, actions by Entrants, fraud, technical failures, or any other causes, in the Sponsor's sole opinion, corrupts or affects the administration, security, fairness, integrity or proper conduct of this Sweepstakes, the Sponsor reserves the right, in Sponsor's sole discretion, to disqualify any individual implicated in such action and/or to cancel, terminate, modify or suspend this Sweepstakes or any portion thereof. In the event this Sweepstakes is cancelled, the Sponsor will conduct a random drawing to award the Prize from among all eligible, non-suspect Entries received prior to the time of the action or event warranting such cancellation. If such cancellation, termination, modification or suspension occurs, notification will be posted at the Site. ANY ATTEMPT BY AN ENTRANT OR ANY OTHER INDIVIDUAL TO DELIBERATELY DAMAGE ANY WEBSITE (INCLUDING THE SITE) OR UNDERMINE THE LEGITIMATE OPERATION OF THE SWEEPSTAKES IS A VIOLATION OF CRIMINAL AND/OR CIVIL LAWS AND SHOULD SUCH AN ATTEMPT BE MADE, THE SPONSOR RESERVES THE RIGHT TO SEEK DAMAGES AND OTHER REMEDIES FROM ANY SUCH PERSON TO THE FULLEST EXTENT PERMITTED BY LAW.
